Ron Levy has 20+ years of business and legal experience representing investors and companies on a broad range of M&A, Finance, and Securities regulatory matters on domestic and cross-border transactions. Mr. Levy has also made a mark as a distinguished attorney representing real estate investors in the industrial and residential space. Mr. Levy has also acted as ethics and finance counsel in connection with over $1 billion of litigation finance transactions since 2019.
Mr. Levy’s experience includes representation of investment banks in connection with underwritten financings and FINRA/SEC regulatory compliance matters, as well as advising fund managers on fund formation, capital raising, and ongoing 40 Act and certain tax compliance issues.
Mr. Levy regularly advises clients on transactions to or from the US, U.K., Israel, and Asia and assists these companies in accessing capital, providing resources, and bypassing obstacles to growth, while providing tax solutions to investors and companies alike.
During Mr. Levy’s career, he has represented institutional and individual clients from around the world, on hundreds of private finance, PIPE, and registered public offering transactions, as well as divestitures and going private transactions. Some of Mr. Levy’s representative transactions include a $250 Million UK based SPAC IPO in the metals industry, an $80 million buyout of manufacturing facilities in southern Europe, a US IPO, and various financings and restructurings of an Australian-based energy storage technology company, representation of a Japanese based AMEX listed company in connection with its US and UK divestitures and going private transaction, various financings and NASDAQ listings of Asia based companies, representation of a nanotechnology company in connection with ongoing reporting and financing activities and, the tax restructuring and sale of a major mid-western US asphalt manufacturer and government contractor to a private equity fund.
Mr. Levy is a former partner in the Corporate, Securities, and Asia Business Practice groups of Hodgson Russ, LLP.
Mr. Levy is admitted to the Southern & Eastern Districts of New York.
Professional Organization Affiliations
Mr. Levy has served on the Aeronautics Committee (2004-2007) and on the Committee on Professional Discipline (1995-1997) of the Association of the Bar of the City of New York.
Mr. Levy has also lectured on PCAOB Audit Committee and Sarbanes Oxley matters for the New York State Bar Association, and on Proxy Rules and Disclosure for the Westchester/Southern Connecticut Chapter of the Association of Corporate Counsel.
Mr. Levy is an FAA Certificated Commercial Pilot and Flight Instructor and is a pro-bono CFO and General Counsel for a charitable volunteer MEDEVAC company which he co-founded in 2018, and which operates multiple business jets, and regularly lectures on ethics issues and Jewish law.
