Mr. Allen is a corporate transactional attorney with experience in capital markets, leveraged finance, securities, investment funds and corporate governance. He has experience gained from working at both large law firms and has participated in transactions at every stage of the life cycle of a company, from early-stage financings and initial public offerings to public- and private-debt financing, mergers and acquisitions, and a restructuring. In addition, Mr. Allen supports clients’ commercial needs, negotiating contracts such as nondisclosure agreements, vendor engagements, supplier agreements and all manner of commercial and transactional contracts. With significant experience in public company situation management, Mr. Allen offers clients pragmatic advice on corporate governance matters, including internal investigations, investor relations and whistleblowing matters. He has also represented investment banks in a range of sectors (including energy, biopharma, retail, transportation, and manufacturing) regarding Rule 144A high-yield debt and convertible debt offerings.
Mr. Allen previously served as Assistant General Counsel and General Counsel of a NYSE-listed financial services company in the alternative investments sector.
Mr. Allen graduated from Brooklyn Law School cum laude in 2006. He received his B.A. from Dartmouth College in 1996. He is admitted to practice in New York.
